Update on Corporate Actions/Material Transactions/Agreements

Further to the disclosure made last December 20, 2022 on the Summons received by Premiere Horizon Alliance Corp. (PHA) from the Securities and Exchange Commission, please be informed that the corporation received the physical copy of the Summons today, December 28, 2022.

Premiere Horizon Alliance Corporation (the “Corporation”) received a Summons from the Securities
and Exchange Commission (“SEC”) on 16 December 2022, ordering the Corporation to file a Verified
Answer to a Petition filed against the Corporation in a case before the SEC entitled “Marvin C. Dela
Cruz vs. Premiere Horizon Alliance Corporation, et al.” docketed as SEC Case No. 12-22-549.

In the Petition, the petitioner Marvin dela Cruz prayed for the SEC to:

“Issue an order directing and authorizing the petitioner to call a special stockholders’ meeting of the Corporation” and “the respondent PHA, its Board of Directors and officers be sanctioned for its continued refusal to hold a special stockholders’ meeting”

The Corporation will be filing its Verified Answer to the Petition.
