1. The Board of Directors of Premiere Horizon Alliance Corporation (the “Company”), in its meeting held today, February 3, 2023, at which quorum was present and the motion duly seconded, unanimously approved the Call for Payment on all unpaid subscriptions as of today, February 3, 2023. Due date for the payment of the unpaid subscriptions was set on or before March 6, 2023

2. The Board further approved the resetting of Record Date for the March 31, 2023 Annual Stockholders’ Meeting to be on March 10, 2023.

3. The election of Messrs. Emmanuel G. Herbosa and Atty. Gloria Victoria Yap Taruc as Independent Directors of Premiere Horizon Alliance Corporation.
