PHA respectfully reports that in a special board meeting held on January 15,
2025, the Board of Directors of PHA, by majority vote, approved the change of its external auditor for the year 2024,
subject to the approval of PHA’s stockholders at a special stockholders’ meeting to be called for such purpose.
PHA held a Special Stockholders’ Meeting today, 31 July 2025, at 10:00 a.m. via videoconference.
Stockholders representing 3,148,443,529 common shares of PHA or 55.15% of the outstanding capital
stock were present in person or by proxy.
