PHA respectfully reports that in a special meeting of the Board of Directors, the Board resolved to ratify the appointment of Mr. Vicente Ferdinand A. Peñaflor as the Corporation’s Internal Auditor for the year 2025. Such appointment shall be effective as of 02 January 2025.

PHA respectfully reports that in a special board meeting held on January 15,
2025, the Board of Directors of PHA, by majority vote, approved the change of its external auditor for the year 2024,
subject to the approval of PHA’s stockholders at a special stockholders’ meeting to be called for such purpose.
