At the meeting of the Board of Directors (the “Board”) of Premiere Horizon Alliance Corporation (the “Corporation”) held today, 20 December 2022, the Board authorized the extension of the capital call from December 27, 2022 to March 31, 2023. The deadline to pay the unpaid subscription balances under the Memorandum of Agreement dated October 29, 2020 was previously extended from October 29, 2022 to December 27, 2022. The deadline was extended to provide the Board and the Corporation ample time to assess its options and decide on the best and most appropriate course of action given the sizable number of shares involved in the transaction and the corresponding stake in the Corporation it represents, i.e., 2,251,971,015 shares representing 39.5% of the Corporation’s outstanding shares.
